About the Role 

We are looking for an experienced Part-Time Lawyer to provide legal support to our growing software business. This position will involve reviewing, drafting, negotiating, and managing contracts, and offering legal advice to support business operations, strategic decisions, and corporate compliance. Key responsibilities:

  • Contract Management: Draft, review, and negotiate corporate, vendor, and client contracts, ensuring alignment with our company’s philosophy, operations, and strategy. Manage contracts, including renewals and revisions based on company needs.
  • Corporate Governance and Compliance: Monitor and maintain compliance with corporate legal obligations and applicable legislation.
  • Strategic Advice: Provide legal guidance to support business operations and strategic decision making based on assessment of risk, cost, benefit and feasibility. Provide support to business units as needed.

What you bring to the table:

  • Strong competence in drafting, reviewing, managing, and negotiating commercial contracts.
  • Ability to manage corporate compliance and identify legal risks in a business environment.
  • Strong legal research skills with the ability to provide advice based on findings.
  • Excellent problem-solving skills and sound judgment when offering legal advice.
  • Strong interpersonal skills, both written and verbal, for clear communication with clients and internal teams.
  • Eagerness to work independently in a dynamic software company.
  • Member in good standing of the Alberta Bar.
  • Minimum of 4 years of experience in corporate/commercial law (in-house or law firm).Preference given to experience in an in-house legal counsel role.
