Associate General Counsel

We are looking for an Associate General Counsel to join our legal team working out of our Boston office.

Novo Holdings is the holding company of the Novo Group and is a Danish private limited liability company wholly owned by the Novo Nordisk Foundation. As of 2023, the Novo Nordisk Foundation had total assets under management of DKK 1,114 billion, including an investment portfolio of DKK 201 billion. The Job

As Associate General Counsel, you will join the US part of our legal team and carry out both the day-to-day operations as well as our deliveries to fullfil the legal key strategic initiatives and goals. You will report to the US General Counsel who is responsible for the legal affairs of Novo Holdings in the US.

Your main tasks will be to:

• Provide legal support for investment activities in the US
• Provide legal support for operational activities of Novo Holdings and the US subsidiaries
• Ensure compliance with US regulatory and legal frameworks
• Support on PE, Growth, and Venture investments, including review and negotiation of transaction documents, communications with investment professionals and liaise with outside counsel
• Manage post-closing matters
• Review NDAs
• Help develop internal forms of agreements
• Assist with monitoring of SEC filings
