Paralegal

UGE develops, owns, and operates community and commercial solar and energy storage projects across the United States. With over a decade of experience in the industry, we are on the front lines, working to accelerate the transition to clean energy. Our team is growing quickly, and we seek talented and motivated individuals to join our Legal team.

The Paralegal will play a crucial role in supporting our project teams by reviewing, drafting, preparing, and managing a variety of legal documents and agreements related to commercial and community-scale solar and battery storage projects. The ideal candidate will have a strong background in real estate, construction, finance, and contract law, with specific experience in the renewable energy sector being a plus.

Located in the NY area and available to come into the office as needed.

Reporting Relationships 

The Paralegal will report directly to the General Counsel.

Responsibilities

Support the Legal Department with the following responsibilities:

1. Lease and Contract Reviews: Conduct thorough reviews of various legal documents, including: lease options, leases, easements, Estoppels, Master Service Agreements (MSAs), purchase orders (PO’s), Non-Disclosure Agreements (NDAs), and utility agreements (Interconnection agreements, PPAs), ensuring compliance and accuracy.
2. Document Preparation: Compile and prepare lease options, leases, contract amendments, and other legal documentation as required for ongoing and new projects.
3. Document recording: public recording of real estate documents such as lease options, leases, and easements with the relevant county.
4. Title Report Analysis: Obtain and assist in the review and analysis of legal descriptions in title reports obtained from tax assessors' offices, ensuring accuracy, and assisting in resolving any discrepancies.
5. Easement Compilation: Gather and organize easement documentation, ensuring all necessary legal and regulatory requirements are met.
6. Zoning Ordinance Support: Provide support in reviewing and interpreting zoning ordinances and regulations, ensuring project compliance with local laws.
7. Construction Finance Close: Review and assist in the execution of documents related to construction finance closing, ensuring all necessary documentation is accurate and complete.
8. External Meeting Support: Provide legal support during external meetings with vendors, utility companies, and government agencies, assisting with documentation and legal queries.
9. Contract Management: Record and file all contracts in the appropriate systems and track corporate compliance with key terms and dates.

Qualifications

• Bachelor's degree in Paralegal Studies, Legal Studies, or a related field.

• Solid understanding of real estate contracts, supplier contracts, Engineering, Procurement and Construction (EPC) contracts, and project finance contracts.

• Minimum of 3-5 years of experience as a paralegal, preferably in real estate, construction, or renewable energy sectors.

• Strong understanding of contract law, real estate law, and zoning regulations.

• Excellent organizational skills and attention to detail.

• Proficient in legal research and document preparation.

• Ability to work independently and as part of a team.

• Strong communication skills, both written and verbal.

• Proficient in Microsoft Office Suite, PowerPoint and Excel.

• Familiar with one or more contract management software systems, i.e., Linksquares, Trackado, etc.

As a candidate for this position, your salary and related elements of compensation will be contingent upon your work experience, education, licenses and certifications, and any other factors UGE deems pertinent to the hiring decision.
